DAVE KOPILAK

Professional Experience

Dave Kopilak focuses his practice on business and corporate law. He has extensive experience assisting clients with business structuring, entity formation, mergers and acquisitions, corporate securities, equity incentive plans, and all types of commercial contracts.

Dave was the primary drafter of Oregon Ballot Measure 91 and has a unique understanding of the business, corporate, and securities law challenges that cannabis businesses face. Prior to co-founding Emerge Law Group, Dave was a shareholder at Schwabe, Williamson & Wyatt, P.C., Oregon’s second largest law firm. He also worked on-site at Intel Corporation where he drafted and negotiated numerous contracts and created several new legal document templates for complex business scenarios. For eight years, Dave was an adjunct professor at the University of Oregon School of Law, where he taught a mergers and acquisitions lab class.

Dave attended University of Oregon School of Law where he earned Order of the Coif honors, and was the Executive Editor of the Oregon Law Review.

Outside the practice of law, Dave has engaged in a number of entrepreneurial ventures. He is the president and co-founder of ClayTablet, a company that provides legal document templates to Oregon and Washington attorneys. He also produced a documentary movie that won awards at several film festivals, and for several years designed and published a calendar that was carried in regional bookstores.

GENNY KILEY

Professional Experience

Genny Kiley focuses her practice on business and corporate transactional law. She has extensive experience assisting clients with business structuring, entity formation, mergers and acquisitions, corporate securities, and commercial loan transactions.

Genny also specializes in franchise law and alcohol regulatory law. Her business and regulatory background provides a unique perspective when advising clients in the cannabis industry. Genny serves as chair of Emerge’s Cannabis Compliance and Licensing practice group. She has helped many cannabis businesses navigate state and local marijuana rules and regulations, obtain recreational and medical marijuana licenses, and avoid common pitfalls unique to the cannabis industry.

Prior to co-founding Emerge Law Group, Genny served as Senior Counsel at Schwabe, Williamson & Wyatt, P.C., one of Oregon’s largest firms. Genny was also an adjunct professor at the University of Oregon School of Law, where she taught a mergers and acquisitions course.

MARCO MATERAZZI

Professional Experience

Marco is a general business lawyer with a practice focused on emerging growth companies, mergers and acquisitions, corporate finance and a range of other business matters. He has significant experience advising clients with respect to corporate governance, intellectual property protection, regulatory compliance, entity structure, shareholder agreements and general contract negotiation.

Prior to joining Emerge Law Group, Marco was a partner at Tonkon Torp LLP. He also previously worked in London and Hong Kong for Herbert Smith LLP, where he represented corporate clients and investment banks in a range of business transactions, including public securities offerings and mergers and acquisitions.

Marco received his J.D. in 2005 from the UCLA School of Law, where he also worked as a legal intern for the American Civil Liberties Union, was a teaching fellow, and taught legal principles to high school students. Marco received his undergraduate degree from Cornell University.

Marco also serves as an Executive Committee Member of the Oregon State Bar Securities Regulation Section and as a member of the Board of Directors of Peninsula Children’s Learning Center, a non-profit, early-childhood education center in Northeast Portland.

Marco is highly proficient in Spanish and Italian. In his free time he enjoys fly fishing, skiing, soccer and spending time with his family.

MATT GOLDBERG

Professional Experience

Matt Goldberg started out as a bankruptcy attorney, where it’s common to do litigation and transactional work. At Emerge, Matt’s practice ranges from litigation and alternative dispute resolution to business and real estate law. Matt was one of the first attorneys in Oregon to build a practice around regulatory compliance for the cannabis industry. Matt previously practiced at K&L Gates and Kell Alterman & Runstein. Matt has litigated in state and federal courts in Oregon and Washington, including state court and bankruptcy appeals, for clients ranging from Fortune 500 and other large companies to small businesses and individuals. Matt is one of few litigators with actual experience and proven results representing cannabis industry clients in litigation, arbitration and mediation. Matt is a former extern to the Honorable Elizabeth L. Perris (ret.) of the U.S. Bankruptcy Court for the District of Oregon and a former member of the Executive Committee of the Oregon State Bar’s Debtor-Creditor Section. Matt is also a former Editorial Board member and Associate Editor of the ABA publication Litigation News. Prior to becoming an attorney, Matt was a journalist for national magazines and major newspapers and an Internet entrepreneur in New York City.

CORINNE CELKO

Professional Experience

Corinne Celko focuses her practice on land use and development law, obtaining permit and entitlement approvals for a wide variety for development projects. Corinne assists clients in building what they want, where they want, and how they want.  She helps clients move nimbly and efficiently through land use laws, development regulations, and the local government development approval process.

Corinne has experience advocating at local government hearings, moving through the local land use application process, and handling cases before the Oregon Land Use Board of Appeals.  Her background in these areas provides a unique perspective when advising clients in the cannabis industry, especially because she has worked with various cities and counties throughout Oregon to adopt regulations specific to cannabis-related uses.

Prior to joining Emerge Law Group, Corinne served as Counsel at Perkins Coie LLP, an international AmLaw 100 law firm. She also previously served as an attorney at Lindsay Hart LLP, a boutique litigation firm, and is a former Deputy Magistrate and Judicial Clerk for the Alaska State Superior Court.

BERNARD CHAMBERLAIN

Professional Experience

Bernard Chamberlain is an attorney and shareholder of Emerge Law Group. Bernard advises his clients on tax, business, and estate planning questions that arise for business owners and in the lifecycle of a small business. He also advises individuals on U.S. international tax matters.  His experience in tax compliance and consulting informs his work as an attorney.

Before joining Emerge Law Group, Bernard worked as an associate for KPMG LLP consulting on U.S. international and corporate tax matters, for his own firm providing tax and estate planning services, and as a business associate for a local law firm advising on tax, business, and estate planning questions.

He received his J.D. in 2006 from Portland’s Lewis and Clark Law School and received his LL.M. in 2010 from the Graduate Program in Taxation of the University of Washington School of Law located in Seattle, Washington.

Bernard is a member of the Oregon State Bar Taxation, Business Law, and Estate Planning Sections.

MARK HACKETT

Professional Experience

Mark Hackett focuses his practice on employment law. For more than twenty years, he has guided employers through the maze of employment laws and regulations they face from before they hire their first employee until after they close their doors and the last employee leaves. Mark has extensive experience advising employers about the full range of employment law issues, including wage and hour laws, employee handbooks and workplace policies, medical and other leaves and employee performance.

Mark also represents employers appearing before administrative agencies or in court. Whether appealing an Employment Department award of unemployment benefits to a former employee, defending against a wage claim before the Bureau of Labor and Industries, enforcing a covenant not to compete or defending against a claim of sexual harassment in court, Mark has done it all.

Prior to joining Emerge Law Group, Mark worked as General Counsel and Human Resources Director for a large Portland natural foods manufacturer, owned his own law firm and was a partner at Davis Wright Tremaine, one of the Northwest’s largest law firms. Prior to law, Mark managed a family wholesale distribution business, gaining valuable experience as an employer and business owner.

ALAN HANSON

Professional Experience

Alan’s practice focuses on advising financial institutions in the development of cannabis banking programs, from the perspective of regulatory requirements and operational best practices.  He also advises clients on financial institution regulatory compliance issues.

Prior to joining Emerge Law Group, Alan served as a Credit Union General Counsel, where he developed and managed the only successful large-scale cannabis banking program in Oregon.   His program received high praise from State Credit Union Regulators.

Alan spends most of his free time on a farm where his wife and two daughters raise and show purebred sheep.

STEPHANIE DAVIDSON

Professional Experience

Stephanie Davidson focuses her practice on general business, compliance and state licensing matters. She helps clients navigate all aspects of the Oregon Liquor Control Commission’s recreational marijuana licensing process. This work includes assisting clients as they acquire real property and structure their businesses, and advising them on the contours of Oregon’s recreational marijuana program. She makes sure that clients have the foundation necessary to support their planned business ventures.

Stephanie’s extensive experience working for government gives her a unique understanding of the regulatory systems that impact all Oregon businesses. Before beginning her career in the law, Stephanie worked as a policy and legislative analyst for the Oregon Judicial Department and City of Hillsboro. In recent years, Stephanie has provided support to judges on the Oregon Court of Appeals and Lane County Circuit Court.

LOGAN LEICHTMAN

Professional Experience

Logan Leichtman focuses his practice on regulatory compliance and land use law. He assists the land use practice group in securing local government approval for cannabis uses for clients.

Logan graduated cum Laude from Willamette Law School in 2015. While there, he interned for state representative Ken Helm in his work on the Joint Committee for Implementation of Measure 91. The two published a paper in the fall 2015 Issue of Willamette Law Review. Logan served as a staff writer and then editor-in-chief of Willamette Law Online, where he founded the Land Use Board of Appeals summary service. He also served as an editor of Willamette Law Review and sourced articles for publication.

Prior to law school, Logan worked as a video editor and post-production coordinator for a multinational media company, with credits including video content that has aired on HBO, CNN, BBC and MTV. He originally cut his teeth in entertainment as a concert producer, having put on hundreds of shows in venues throughout the state of Virginia, ranging from college basements to stadiums.

SEAN CLANCY

Professional Experience

Sean Clancy’s practice focuses on business and intellectual property (“IP”).  As outside IP counsel for a variety of innovative industries including state-licensed cannabis, entertainment media, design, consumer products, food, beverages, professional services, software, and new technology, Sean advises on state and federal trademark rights, copyrights, packaging and labeling, publicity, privacy, trade secrets, non-disclosure agreements (“NDAs”), and licensing.

As general business and corporate counsel, Sean negotiates, prepares legal documents, and advises on relationships spanning from entity formation and ordinary business to complex transactions, regulatory compliance, and disputes.

Prior to joining Emerge Law Group, Sean ran his own law firm and contracted for other law firms, counseling on specialized business and IP issues.  Before that, he worked at the business, IP, and entertainment firm, Day & Koch LLP.  During law school Sean served on the Lewis & Clark Law Review.  He also worked at the Small Business Legal Clinic, the Lewis & Clark Legal Clinic, and served as a judicial extern for Chief Judge Ann Aiken in the United States District Court of Oregon.

COURTNEY CHU

Professional Experience

Courtney is a litigator and transactional attorney specializing in criminal defense, civil litigation, and regulatory compliance for the cannabis industry. Her professional experience includes public health policy, with a focus on tobacco, housing, and food and drug regulations; administrative rulemaking and legislative drafting; real estate and foreclosure law; employment law; and small business counseling. Prior to joining Emerge, Courtney practiced law as a solo attorney in the San Francisco Bay Area, where she worked with prominent local cannabis attorneys to provide legal guidance and business transactional services to the California cannabis industry. During and after law school, she served at the Oregon Health Authority as a policy intern, administrative rulemaker, and contract policy analyst.

Aside from her work in law and public health policy, Courtney has also been active in the local Bay Area food scene and natural health advocacy. She devotes her leisure time to yoga, rock climbing, live music, snowboarding, traveling, cooking, and spending time with family and friends.
